Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of the Hubel platform and related services (the “Service”) provided by Hubel, Inc. (“Hubel,” “we,” or “us”). By creating an account, connecting a system, or otherwise using the Service, you agree to these Terms on behalf of yourself and the organization you represent (“Customer,” “you”).
1. The Service
Hubel is an operational intelligence platform for businesses. It connects to the systems you authorize, normalizes the data it reads, and runs analysis and agents that surface insights, prepare work, and — only where you have explicitly permitted it — take action on your behalf. The specific features available to you may change over time as we improve the Service.
2. Accounts & Eligibility
You must create an account to use the Service. You are responsible for the accuracy of your account information, for maintaining the security of your credentials, and for all activity that occurs under your account. You must be authorized to bind your organization to these Terms and to connect the systems and data you choose to connect. You must be at least 18 years old.
3. Customer Data
“Customer Data” means the data you provide to the Service and the data the Service reads from systems you connect (for example, your accounting, point-of-sale, payroll, or scheduling systems). As between you and Hubel, you own your Customer Data. You grant Hubel a limited, non-exclusive license to access, process, store, and transmit Customer Data solely to provide and improve the Service for you, and as described in our Privacy Policy.
You are responsible for ensuring you have the rights and permissions necessary to connect each system and to let Hubel process the data within it.
4. Connected Third-Party Services
The Service lets you connect third-party systems (such as accounting, payroll, point-of-sale, and property-management providers). When you connect a system, you authorize Hubel to access it using credentials or tokens you provide through that provider’s authorization flow. Your use of each third-party service remains subject to that provider’s own terms. You can disconnect a connected system at any time from within the Service; doing so revokes Hubel’s ongoing access to it. Hubel does not control third-party services and is not responsible for their availability, security, or acts or omissions; you connect them at your own discretion.
5. Acceptable Use
You agree not to:
- use the Service in violation of any applicable law or third-party right;
- connect data or systems you are not authorized to access;
- attempt to gain unauthorized access to the Service, other customers’ data, or our infrastructure;
- probe, scan, or test the vulnerability of the Service except as expressly authorized in writing;
- reverse engineer, resell, or use the Service to build a competing product; or
- interfere with or disrupt the integrity or performance of the Service.
6. Intellectual Property
The Service, including its software, models, design, and documentation, is owned by Hubel and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. We reserve all rights not expressly granted. Insights and outputs the Service generates from your Customer Data are yours to use within your business.
7. Feedback
If you give us feedback, suggestions, or ideas about the Service, you grant Hubel a perpetual, irrevocable, worldwide, royalty-free license to use them to operate and improve the Service, with no obligation or compensation to you. Feedback is provided voluntarily and is not your confidential information.
8. Fees
Where the Service is provided under a paid plan or order, you agree to pay the fees described in that plan or order. Unless stated otherwise, fees are non-refundable and exclusive of taxes. Unless your plan or order says otherwise, subscriptions renew automatically for successive periods equal to the then-current term, unless either party gives written notice of non-renewal at least 30 days before the current term ends. We will give you reasonable notice of any change to recurring fees. Some features may be offered during a preview or trial period at no charge and without any service commitment.
9. Confidentiality
Each party may receive non-public information of the other. The receiving party will use the disclosing party’s confidential information only to perform under these Terms and will protect it using at least reasonable care. Customer Data is your confidential information.
10. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Hubel disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Hubel does not warrant that the Service will be uninterrupted or error-free, and the Service does not provide legal, tax, accounting, or financial advice. You are responsible for decisions you make based on its outputs.
11. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Hubel’s total liability arising out of or related to these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Hubel and its officers, employees, and agents from and against any third-party claims, damages, losses, and reasonable expenses (including attorneys’ fees) arising out of (a) your Customer Data or the data or systems you connect, (b) your use of the Service in breach of these Terms or applicable law, or (c) your violation of a third party’s rights. We will notify you of the claim, let you control its defense with counsel reasonable to us, and cooperate reasonably; you may not settle a claim in a way that imposes any obligation on us without our prior written consent.
13. Term & Termination
These Terms apply for as long as you use the Service. If you are on a paid plan with a committed term (for example, an annual subscription) set out in a plan or order, that term governs how and when you may cancel: fees for the committed term remain payable, and prepaid fees are non-refundable except as required by law or expressly stated in your plan. Where no committed term applies, you may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms or if your use poses a security or legal risk. On termination, your right to use the Service ends; you may request export or deletion of your Customer Data as described in our Privacy Policy.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in Delaware, and each party consents to their jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
15. General
Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Severability. If any provision is held unenforceable, the rest of these Terms stay in effect, and that provision will be modified only to the minimum extent needed to make it enforceable. Waiver. Our failure to enforce a provision is not a waiver of it. Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices. We may send notices to the email associated with your account, and you consent to receive communications from us electronically. Entire agreement. These Terms, together with any plan or order and our Privacy Policy, are the entire agreement between you and Hubel regarding the Service and supersede any prior agreement on that subject.
16. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will provide reasonable notice (for example, by email or in-product). Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
